Microsoft gives Yahoo three weeks to accept its offer

"........If we have not concluded an agreement within the next three weeks, we will be compelled to take our case directly to your shareholders, including the initiation of a proxy contest to elect an alternative slate of directors for the Yahoo! board. The substantial premium reflected in our initial proposal anticipated a friendly transaction with you. If we are forced to take an offer directly to your shareholders, that action will have an undesirable impact on the value of your company from our perspective which will be reflected in the terms of our proposal.................."

I think all Yahoo's going to say is "bring it".

Does anyone at Yahooa actually want their company to be merged with the Redmond Beast? Going after their shareholders directly is a pretty shrewd descision by Microsoft.

I'm behind Microsoft 100% but I'd sure rather they kept this in-house.
Of course I don't have a clue to the real meat in this deal, yet.

yahoo "era" reminds me of tucows - (who i did logo for and all websites/ads /cds from 1996 to 2000

ms should buy them too - not for the download site - but for Open SRS - a backend domain system used by many isps (they are one of the few top level icann registrars.. like register.com etc)

edit: it has always surprised me ms never got seriously into domains...

If you stumbled and fell down, it doesn't mean yet, that you're going in the wrong direction.
Yahoo extremely overestimates own value, same as MS overestimates Y's value. Yahoo is nothing in comparison with Google.
Just one more small "search" like "live.com". So I would to recommend Y to accept MS offer ASAP.

BlackTiger, you also shouldn't UNDERestimate Yahoo!'s value. Yahoo! is more than just the search engine.

The whole "overestimating underestimating" looks like a PR stunt to me. I don't think anyone believes that economically; it's more of a defense to say that we're worth more than what you value us so as a board of directors, we shouldn't accept your deal. And then Ballmer coming in and saying that they'll lower the bid comes to MS' defense to show that the company has total control over the situation and that a loss will never come to play.
Search engines are worthless anyway because with a good search engine you're only exposed to ads for like, 500 ms.  It's all about their brand and advertising exposure.

Honestly....

By April 15th Yahoo will announce their earnings....but something tells me that they'll get an endorsement (sell out) by someone large (News Corp, AOL, Google, etc) to make their valuation seem larger than it is...and then tell Microsoft to bring it...

Make themselves a huge albatross and then try to weigh down whoever wants them....they already did it with their severance packages, their value is just next...

Elsewise, April 15th will roll around and they'll announce a poor earnings report, Microsoft will just wait till Yahoo starts auctioning off pieces of itself and then Microsoft can pick what they want...

Flickr - Ya....Search - No....just as an example...

Or they'll go the proxy fight manner, but once Yahoo! knows their valuation is going to be poor they'll pour on the acquirement benefits to their employees....dump all their current positive flow into their employees and then let them all quit/layoff with huge packages...

That way when Microsoft does acquire them, then they'll either have to pay outrageous salaries (Jr. Software Engineers making $100,000) or lay them off with packages worth $100,000.

Kinda mutual assured destruction but the employees benefit from it.

When this finally happens it will be an end of an era. To me Yahoo is the last remnant of the dotcom.

I love the fun-facts in their press room:

If yahoo news were a printed publication it would serve more than 21 times what Wall Street Journal does.

But notably absent is any qualitative assessment (Y!N sucks) or mention that you have to pay for the WSJ.

I'm on my very last life.
MS: We want to buy you.
YH: Thanks, but we want more.
MS: Accept or face hostile takeover.

This is likely to see the crash of Yahoo stocks and a mass exodus of employees... resulting in a lose-lose situation.
