Yahoo has low quality less relevant ads. By placing Google ads in Yahoo ad space, the relevancy will increase and result in a better user experience. Plus by showing more relevant ads, it will increase Yahoo and Google profits.

Microsoft did come in above the price value of Yahoos shares.Yahoo sees their value not just in the price of their stock but in that it helps change the terrain of the playing field between Microsoft and say some other large tech corporation. Say, some one like Google. Yahoo is flexing its muscle or rearing its head in a defensive posture. Saying stand back Microsoft or at least make us a bigger offer. In my opinion yahoo has every right to see if they can get out of this half nelson wrestling move proposed by Microsoft.

But if Microsoft buys out Yahoo they don't have to honour Yahoo's agreements made after Microsoft made clear its intention to buy...
Yeah, Yahoo currently going on about a lot of crap deals so MS will be discouraged. Oh well, if Yahoo prefer Google's search domination (or call it monopoly even though it wasn't entirely accurate), it is their decision. If I am MS, I am certainly lose the interest of the purchase.
Yahoo feels their real value is so much higher based on what?

Online advertising is weak, and that's where Yahoo generates the majority of it's revenue.


Great, they don't have any Mortgage Backed Securities or CDS's to worry about; but what can they really say to realistically prove their higher stock value?

I also know that under the merger if a contract is made with a direct competitor after a statement of intended acquisition is filed it may be claimed that the contract is a Poison Pill contract and can be declared illegal in view of the fact that it is not in the shareholder's interests.

edit: best case scenario = yahoo does get AOL for 20% = time warner content (assumed) = cnn then MS gets them all

Even if that's true, how would that reverse the damage that's been done? All the advertisers Google picked up from Yahoo are suddenly going to be forced to pay Microsoft or something instead? Somehow I doubt it.
